These Terms of Service ("Terms") govern your use of RealtorAssist, provided by Scaled Up Partners LLC ("Company," "we," "us," or "our"). By using our service, you agree to these Terms.

1. Service Description

RealtorAssist is an AI-powered chatbot service for real estate agents. The service includes:

• 24/7 AI chatbot functionality on your website
• Lead capture and qualification
• Email notifications for new leads
• Google Sheets integration for lead management
• Property listing showcase and recommendations
• Mortgage and financing Q&A (Smart and Premium tiers)
• Neighborhood search and data (Premium tier only)

2. Subscription and Payment

Pricing Tiers:

• Basic Chat: $300/month
• Smart Qualifier: $500/month
• Premium Intelligence: $700/month

Billing: Subscriptions are billed monthly in advance. Payments are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

3. User Responsibilities

As a client, you agree to:

• Provide accurate business and contact information
• Maintain the security of your account credentials
• Use the service in compliance with applicable real estate laws and regulations
• Not use the service for unlawful or fraudulent purposes
• Provide accurate property listing information
• Respond to leads in a timely and professional manner

5. Data and Privacy

Our collection and use of data is governed by our Privacy Policy. By using RealtorAssist, you consent to such collection and use.

You retain ownership of your business data and property listings. We use lead data solely to provide the service and do not sell it to third parties.

6. Service Availability

We strive to provide 24/7 service availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience technical issues that temporarily affect service.

We are not liable for any losses resulting from service interruptions.

7. AI Accuracy and Liability

RealtorAssist uses AI technology to generate responses. While we strive for accuracy:

• AI responses may occasionally be incorrect or incomplete
• You are responsible for verifying information provided to leads
• We are not liable for errors in AI-generated content
• The chatbot does not provide legal, financial, or professional advice

8. Intellectual Property

RealtorAssist and all related software, content, and trademarks are owned by Scaled Up Partners LLC. You may not:

• Copy, modify, or distribute our software
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices

9. Termination

By You: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

By Us: We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Use the service for fraudulent or illegal purposes

10. Limitation of Liability

To the maximum extent permitted by law:

• We provide the service "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid in the past 12 months

11. Indemnification

You agree to indemnify and hold harmless Scaled Up Partners LLC from any claims, damages, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any laws or regulations
• Content you provide to the chatbot

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Travis County, Texas.

13. Changes to Terms

We may update these Terms periodically. We will notify you of material changes via email. Continued use after changes constitutes acceptance of the updated Terms.
